Business Activity
 

ESB is currently developing and pursuing opportunities across a number of electricity generation technologies in Ireland and UK, primarily renewable, including onshore and offshore wind, solar, energy storage, and dispatchable flexible generation.

 

ESB Asset Development (AD) is the business development and investment arm of ESB’s Generation and Trading (GT) business unit. Asset Development is specifically responsible for the identification of renewable greenfield development and acquisition opportunities, as well as energy storage and dispatchable flexible generation, within Ireland and Great Britain,

 

The role of the Commercial Team within Asset Development (AD) is to champion value creation in the acquisition, development, and construction of ESB’s GT’s portfolio by:

 

  • Developing optimised commercial business cases and subsidy auction bidding strategies;
  • Providing valuation expertise in acquisition processes;
  • Negotiation of robust commercial contracts including;
  • Structuring transactions in relation to optimal Equity and Debt strategy (including Project Finance); and
  • Bringing commercial considerations to the forefront of all AD activities.

 

Position Description

The Commercial Lead will provide optimal commercial solutions for projects across multiple technologies in Asset Development:  

 

  • Development of robust asset valuations;
  • Leading development of commercial business cases and competitive auction bids;
  • Funding solutions across both Debt and Equity;

 

The role will report to the Senior Commercial Lead and will work closely with other areas in the business including Corporate, Trading, Legal, Tax and Finance.

 

Key Responsibilities

 

The Commercial Lead will support the Business Development Teams in Asset Development across all commercial aspects of their project activities. This will cover both Acquisition opportunities and Greenfield development options.

 

The Commercial Associate will specifically lead all commercial aspects of acquisition processes, including:

  • Commercial due diligence;
  • Provision of market and auction expertise;
  • Provision of valuation expertise;
  • Advising on, and potential subsequent arrangement of, optimum funding solutions; and
  • Completion of transaction documents (SHA, SPA, JVAs).

 

Support Business Development Teams in the commercialisation of greenfield developments including:

  • Develop the optimum structuring strategy for projects, ensuring that all tax, legal, regulatory and finance requirements are met;
  • Develop the optimum commercial Route to Market strategy for projects;
  • Develop and optimise the commercial business case and ensure that it meets investment criteria; and
  • Work with Business Development Teams to ensure consistency of all key project agreements.

 

 

General Commercial team requirements - represent the Commercial team and AD in engagements with:

  • Internal stakeholders to ensure the commercial business case and funding solutions proposed meet investment return, legal, tax, insurance and treasury requirements;
  • External Stakeholders including equity partners, lenders and advisors marketing the projects and co-ordinating the due diligence process; and
  • ESB Treasury in managing key relationships and interfaces with lenders and advisors on project financed projects, particularly during the development and construction phases of projects.

 

Other duties in line with Commercial team requirements.

 

 

Essential Knowledge, Skills and Experience

 

The successful candidate will have at least 7 years relevant experience and have:

 

  • Business case development, including experience in commercial aspects of investment business case development, drivers of value and return metrics, ideally across multiple technologies in Ireland and UK jurisdictions;
  • Experience in valuation of energy assets, auctions and bidding strategies, corporate PPA’s, formulation of commercialisation strategy for assets;
  • Transaction experience, including working as part of a multi-disciplinary team, debt / equity financing, (including non-recourse project finance), managing advisors, negotiating commercial contracts (Such as: SHA/SPA, JVAs, Offtake Agreements, Option Agreements, Finance Documents), influencing others and managing external / internal stakeholders;
  • Knowledge of tax, accounting, insurance, treasury, and legal issues related to large infrastructure projects; and
  • Strong interpersonal, communication and influencing skills, a flexibility to adjust and thrive in an environment with changing requirements, schedules and priorities for multiple projects or assignments.

 

Qualifications

 

  • Relevant 3rd level qualification or equivalent in Accountancy, Economics, Finance, Engineering or an MBA/CFA.

Salary

 

€60,000 to €75,000 per annum
